1. Scope
These Subscription and AI Credits Terms ("Terms") govern all paid subscriptions, AI Credit purchases, Premium Services, and other fee-based offerings made available by TheSHFTApp LLC ("TheSHFTApp," "we," "us," or "our") through the Platform.
These Terms supplement the Terms of Use and are incorporated therein. Capitalized terms have the meanings in the Master Definitions.
2. Subscription Plans
2.1 Available Plans. TheSHFTApp offers subscription plans providing access to designated tiers of Platform features. Current plan descriptions and pricing are available on the Platform's pricing page. Plans, pricing, and included features are subject to change.
2.2 Plan Tiers. Subscription plans may include free tiers, standard paid tiers, pro or premium tiers, team plans, and enterprise plans. The features included in each tier are described on the pricing page at the time of purchase.
2.3 Free Tier. A free tier may be offered with limited feature access and AI Credit allocation. TheSHFTApp reserves the right to modify, limit, or discontinue the free tier at any time with reasonable notice.
3. Billing and Payment
3.1 Billing Cycle. Subscriptions are billed on a recurring cycle (monthly or annual) beginning on your purchase date. Annual plans may offer a discounted rate compared to monthly billing.
3.2 Payment Method. You must provide a valid payment method at checkout. You authorize TheSHFTApp (through its payment processor) to charge the payment method for all applicable fees.
3.3 Payment Processor. Payment processing is handled by Square (Block Inc.). Your payment card data is transmitted directly to and stored by Square. TheSHFTApp does not store full payment card numbers. Your use of Square's payment services is subject to Square's terms and privacy policy.
3.4 Failed Payments. If a payment fails, we will attempt to notify you and may retry the charge. If payment is not received within a reasonable grace period, your Subscription may be downgraded to the free tier or suspended.
3.5 Taxes. Quoted prices may not include applicable sales tax, VAT, or similar taxes. Any applicable taxes will be identified at checkout and charged in addition to subscription fees.
3.6 Price Increases. We may increase Subscription prices with at least thirty (30) days' advance notice via email or in-app notification. Continued use after the effective date of a price increase constitutes acceptance. If you do not accept the new price, you may cancel your Subscription before the next billing cycle.
4. Auto-Renewal
4.1 Automatic Renewal. Subscriptions automatically renew at the end of each billing period at the then-current price for that plan tier. You authorize TheSHFTApp to charge your payment method on file for each renewal.
4.2 Renewal Notification. For annual plans, we will send a renewal reminder at least seven (7) days before the renewal date.
4.3 Cancellation to Prevent Renewal. To prevent renewal, you must cancel your Subscription before the renewal date through your Account settings or by contacting support@theshftapp.com. Cancellation after the renewal date does not entitle you to a refund for the renewed period.
4.4 State-Specific Disclosures. Auto-renewal disclosures required by California (California Automatic Renewal Law) and other applicable states are presented at checkout and via renewal notifications.
5. AI Credits
5.1 What AI Credits Are. AI Credits are units consumed when using AI-powered features on the Platform. Different features consume different quantities of credits per use as described on the Platform.
5.2 Credit Allocation. Subscription plans include a monthly or annual AI Credit allocation. Unused credits in a monthly allocation typically do not roll over unless expressly stated in the plan description. Annual plan credits may roll over within the annual period; see plan details.
5.3 Credit Exhaustion. When your AI Credit allocation is exhausted, AI-powered features requiring credits become unavailable until credits are replenished through a new billing cycle or a credit top-up purchase.
5.4 Credit Top-Ups. Additional AI Credits may be purchased as one-time add-ons at then-current pricing.
5.5 No Unlimited AI Credits. No subscription plan, Access Pass, or other product marketed by TheSHFTApp offers unlimited AI Credits. All AI Credit usage is subject to allocations, caps, and replenishment requirements. Any marketing characterization of "unlimited" applies only to the specific, bounded feature access described in the product terms, and not to AI Credits.
5.6 Credit Expiration. Purchased AI Credit add-ons may have an expiration date. Subscription-included credits expire at the end of the applicable billing period unless the plan specifies rollover. Unused credits at Account termination are forfeited.
5.7 Credit Adjustments. TheSHFTApp may adjust credit pricing, allocation amounts, and feature credit costs at any time. Material changes will be communicated with reasonable advance notice.
6. Cancellation
6.1 How to Cancel. You may cancel your Subscription at any time through Account settings or by contacting support@theshftapp.com.
6.2 Effect of Cancellation. Upon cancellation:
- Your Subscription remains active through the end of the current paid period;
- Auto-renewal is disabled;
- Your Account reverts to the free tier (if available) or access to Subscription features ends at the period's end; and
- Unused AI Credits in your allocation may be forfeited at the billing period's end.
6.3 No Mid-Period Refund. Cancellation does not entitle you to a refund for fees already paid for the current billing period, except as required by applicable law.
7. Refunds
7.1 General Policy. All subscription fees and AI Credit purchases are non-refundable except:
- Where required by applicable law;
- Where TheSHFTApp has materially failed to deliver the Services as described; or
- As expressly stated in a specific promotion or offer.
7.2 Refund Requests. Refund requests must be submitted to support@theshftapp.com within thirty (30) days of the charge. We review requests case by case.
7.3 Chargebacks. If you initiate a chargeback without first contacting us, we may suspend your Account while the dispute is investigated.
8. Enterprise Subscriptions
Enterprise Customers with custom agreements may be subject to different billing, renewal, and credit terms as specified in their Enterprise Agreement. The Enterprise Agreement governs to the extent of conflict with these Terms.
9. Future Pricing Models
TheSHFTApp reserves the right to introduce, modify, or discontinue any pricing model, including usage-based pricing, per-feature pricing, token-based billing, tiered AI credit pricing, metered enterprise plans, and other structures as the business evolves. Material changes will be communicated with reasonable advance notice.
